2. About ElleDesigns and the services

This site is a design catalog and an invitation to enquire, not a binding offer.

ElleDesigns is a website design and development studio. This website is a catalog of website design concepts by industry, together with information about how to commission a website. Nothing on this site is an offer capable of acceptance; it is an invitation to enquire.

3. The design catalog and concept demo sites

The demo businesses are invented; third-party names and stock photos stay with their owners.

The sites shown under the catalog (for example "CargoFlow Logistics") are original design concepts created by ElleDesigns for demonstration. The businesses, people and figures they contain are illustrative examples, and any resemblance to an actual business is coincidental.

Third-party names, brands and trademarks that may appear as illustrative content belong to their respective owners and are used only to show context. Stock photographs are licensed from their providers and are not transferred to you.

4. Quotes, proposals and engagement

A project is binding only once both sides sign a written proposal and any deposit is paid.

A quote or proposal we send is an estimate based on the information you provide and is valid for the period stated in it. A binding contract is formed only when both parties confirm a written proposal or statement of work and any required deposit is paid. The scope, deliverables, timeline and price of a project are those set out in that document, which prevails over any inconsistent statement on this website.

5. Fees and payment

Fixed price per project, quoted before work starts; taxes and late-payment interest may apply.

Projects are quoted on a fixed-price basis per project. Unless the proposal says otherwise, a deposit is payable before work begins and the balance is payable on completion. Prices are exclusive of taxes unless stated, and any applicable taxes will be added as required by Philippine law. Late payments may pause work and accrue interest at the rate allowed by law.

6. Intellectual property

ElleDesigns owns the catalog and components; you get rights to your finished site on full payment.

ElleDesigns owns all rights in this website, the design catalog, the concept demo sites and the underlying component system and code, except for third-party materials used under licence. Browsing the catalog does not grant you any rights in these designs.

For a commissioned project, on full payment you receive the rights in the final, customised website as set out in the project agreement — typically ownership of the bespoke content and a licence to the reusable underlying components. Fonts, stock media and third-party libraries remain subject to their own licences.

You retain ownership of the logos, text, images and other materials you provide, and you grant us a licence to use them for the purpose of the project.

7. Your responsibilities

Give accurate information, hold rights to what you supply, review drafts on time, don’t misuse the site.

You are responsible for the accuracy of information you give us, for having the right to use any materials you provide, and for reviewing and approving drafts within the agreed timeframes. You must not use this website unlawfully, attempt to disrupt it, scrape it at scale, or copy the catalog designs for resale or reuse.

We are not responsible for third-party sites or services this page links to or loads.

This site links to and loads content from third parties (for example map tiles and fonts). We are not responsible for third-party sites or services and their inclusion is not an endorsement.

9. Disclaimers

The site and demos are provided “as is”; this does not affect your statutory consumer rights.

This website and the concept demo sites are provided "as is" and "as available" for information and demonstration. Forms on the demo sites do not submit real enquiries. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement in relation to the website itself. This does not affect any statutory rights you have as a consumer under the Consumer Act of the Philippines (RA 7394) or the Civil Code.

10. Limitation of liability

Our liability for the website itself is capped at PHP 5,000, except where the law forbids a cap.

To the fullest extent permitted by Philippine law, ElleDesigns is not liable for indirect, incidental or consequential loss, or loss of profit, revenue, data or goodwill, arising from your use of this website. Our total liability arising out of or in connection with the website is limited to PHP 5,000. Nothing in these terms excludes or limits liability that cannot be excluded or limited under Philippine law, including liability for fraud, gross negligence or willful misconduct. Liability for a commissioned project is governed by that project agreement.

11. Indemnity

You cover us for losses caused by your breach of these terms or infringing materials you supply.

You agree to indemnify ElleDesigns against claims, losses and reasonable costs arising from your breach of these terms or your misuse of the website, or from materials you provide that infringe a third party’s rights.

12. Privacy

Data you submit is handled under our privacy policy and the Data Privacy Act.

Personal data you submit through this site is handled in accordance with our Privacy Policy and the Philippine Data Privacy Act of 2012 (RA 10173).

13. Governing law and venue

Philippine law applies; disputes go to the courts where ElleDesigns is based.

These terms and any dispute arising out of or in connection with them or the website are governed by the laws of the Republic of the Philippines. The parties submit to the exclusive jurisdiction of the proper courts of the city or province where ElleDesigns holds its principal place of business, without prejudice to any right to seek relief before the National Privacy Commission or other competent body.

We may update this page; the effective date shows when it last changed.
